General Terms and Conditions of Sale

  1. Designation

Les Langues du Monde is a professional training institution specialising in language coaching for employees of companies in the finance and legal industries. Its registered office is located at 9, rue Lincoln – 75008 Paris, FranceLes Langues du Monde designs, develops and dispenses inter-company and intra-company training programmes in Paris, Brussels and London, either solo or via a partnership.

The terms used in the follow paragraphs shall have the definitions set out below:

  • “Client”: any natural person or legal entity that enrols in or places an order for a training programme with Les Langues du Monde.
  • “Trainee”: any natural person who takes part in a training programme.
  • “Inter-company training”: the training programmes listed in the Les Langues du Monde catalogue, offered to Trainees from different entities belonging to the same group of companies.
  • “Intra-company training”: the training programmes tailor-made by Les Langues du Monde for a given Client or group of Clients.
  • “GTCS”: these Terms and Conditions of Sale, detailed herein below.
  • “OPCO”: opérateur de compétences, i.e. a government-certified organisation tasked with providing support and funding for continuing vocational training programmes.

Purpose
These General Terms and Conditions of Sale apply to all training services undertaken by Les Langues du Monde for a Client. Enrolling in or placing an order for a training programme implies the Client’s full and unreserved acceptance of these General Terms and Conditions of Sale. These General Terms and Conditions of Sale prevail over any other Client document, and in particular over the Client’s General Terms and Conditions of Purchase.

Financial Terms and Conditions, Settlements and Payment Methods
All prices are indicated in EUR and without tax. VAT shall be added at the rate in force.

Settlement of the price for the training programme is made on receipt of the invoice, in cash, without discount, to Les Langues du Monde, under the previously agreed-upon terms and conditions of payment:

  • on the signing of the training agreement; or
  • on completion of the training programme; or
  • in multiple previously defined instalments;

Any amount not paid on time automatically results, without prior notification, in the application of penalty fees equal to 1.5x the legal interest rate. Les Langues du Monde will have the option of taking legal action to obtain settlement, at the Client’s expense, without prejudice to other damages and interest liable to be owed to Les Langues du Monde.

Where the invoice is settled by the Client’s OPCO, it is the Client’s responsibility to submit a request for coverage by the OPCO before the training programme begins. Where the invoice is partially covered by the OPCO, the difference will be billed directly by Les Langues du Monde to the Client. If approval of coverage is not received by Les Langues du Monde no later than one business day before the training programme is scheduled to begin, Les Langues du Monde reserves the right to deny the Trainee entrance to the training programme or to invoice the Client for the training fees in their entirety.

In the event of exceptional situations, an arrangement may be reached to settle the invoice in instalments. In any event, the payments methods shall have been formalised prior to beginning the training programme.

Impediment and replacement of a participant
Where the Client notifies Les Langues du Monde of an impediment at least 7 days before the training programme is scheduled to begin, Les Langues du Monde provides the Client with two options:

  • to switch the Trainee’s enrolment to a subsequent training programme duly scheduled in the Les Langues du Monde catalogue, with the approval of the OPCO where applicable; or
  • to replace the Trainee who is no longer able to participate in the selected training programme with another participant having the same profile and training requirements, subject to the approval of the OPCO where applicable. This option cannot apply to persons in the entertainment industry.

Cancellation, absence or interruption of training
The Client shall be liable for payment in full of any training programme that has been started, in which case the programme will be invoiced to the Client by Les Langues du Monde. In the event of absence, interruption or cancellation, the invoice established by Les Langues du Monde distinguishes between the price charged for the days actually attended by the Trainee and the amounts owed for days on which the Trainee was absent or for the interruption of the training programme. It should be noted that the amounts owed by the Client in this respect may not be deducted by the Client from its obligation to take part in continuing professional training, nor may the Client submit a request for their coverage by an OPCO.

In such case, the Client undertakes to pay the amounts for which the Client remains liable directly to Les Langues du Monde.

Furthermore, in the event the training programme is cancelled by the Client, Les Langues du Monde reserves the right to charge the Client for cancellation fees calculated as follows:

  • if the cancellation is made more than 15 business days prior to the scheduled start date of the training programme: no cancellation fees;
  • if the cancellation is made between 15 and 7 business days before the scheduled start date of the training programme: cancellation fees equal to 50% of the price without tax of the training programme;
  • if the cancellation is made less than 7 business days before the scheduled start date of the training programme: cancellation fees equal to 100% of the price without tax of the training programme.

Time and location
The times of training courses are set in advance, before the scheduled start date of the training programme, by mutual agreement between the Instructor and the Trainee.

Training at the client’s place of business
Unless otherwise indicated in the training notice, all training courses are given at the Client’s place of business, in the training rooms reserved for this purpose by the Client, at the address stipulated in the Training Agreement.

The Client shall provide the necessary materials and equipment for the purposes of the training course, such as tables, chairs and a paperboard. A list of said materials and equipment is provided to the Client by Les Langues du Monde before the training programme begins.

Online training
Training courses may be given online if needed, such as in the case of strikes or lockdown periods.

In such case, our terms and conditions (price and cancellation of training programmes) remain the same. The Client will be kept informed of how the course is progressing online. The Trainee and the instructor agree on a time and date, as is the case for training courses given at the Client’s place of business.

Required documents
The Client shall provide Les Langues du Monde with its Internal Rules in due and proper form.

The Client shall provide a document attesting to the compliance of its place of business.

The Client shall provide a security log.

The Client shall provide a risk assessment document in compliance with the security document for public and high-rise buildings (ERP and IGH) in Paris, available on the national website of the Préfecture de Police.

Class size and deferment
To promote the best possible learning conditions, the class size is limited for each training programme. The class size is determined, for each training programme, based on the associated teaching goals and methods.

Enrolments are recorded in the order they are received. Issuance of a quote does not constitute enrolment. Only duly completed, dated, stamped and signed quotes bearing the handwritten statement “Bon pour accord” (denoting approval) and returned to Les Langues du Monde shall have contractual value.

Quote and certificate
A quote is addressed to the Client by Les Langues du Monde for each training initiative. A duly completed, dated, stamped and signed copy of the quote bearing the handwritten statement “Bon pour accord” (denoting approval) shall be returned to Les Langues du Monde by any means at the Client’s convenience, i.e. by post, fax or e-mail.

Where applicable, a special agreement may be established between Les Langues du Monde, the OPCO or the Client.

On completion of the training programme, Les Langues du Monde issues a training certificate to the Trainee. Where the invoice for the training programme is covered, in part or in whole, by an OPCO, Les Langues du Monde provides the OPCO with a copy of the training certificate along with the invoice.

An attendance certificate may be provided to the Client, at its request, for each Trainee.

Obligations and force majeure
With respect to its training services, Les Langues du Monde is bound by a best-efforts obligation and not a performance obligation vis-à-vis its Clients or its Trainees.

Les Langues du Monde may not be held liable with respect to its Clients or its Trainees in the event it fails to meet its obligations as a result of an unforeseen event or force majeure. This document considers unforeseen events or cases of force majeure to be, in addition to those recognised by legal precedent: an illness or accident involving an instructor or a training manager, strikes or social conflicts external to Les Langues du Monde, natural disasters, fires, disruption of telecommunications, energy supply or transport of any kind, or any other circumstance outside the reasonable control of Les Langues du Monde.

Intellectual property and copyright
All presentation documents, content and teaching materials, in any form whatsoever (paper, electronic, digital, oral, etc.) used by Les Langues du Monde for training purposes or provided to Trainees constitute original works and, as such, are protected by intellectual property and copyright law.

Accordingly, the Client and the Trainee are prohibited from using, transmitting, reproducing or transforming such documents, in part or in whole, without the express approval of Les Langues du Monde.

This restriction covers, in particular, any use made by the Client and the Trainee for the purpose of organising or leading training courses.

Description and schedule of training programmes
The content of training programmes, as presented in the training presentation documents, are provided for information purposes. The instructor or the training manager reserve the right to modify this content in response to current events, the level of the participants or the group dynamic.

Confidentiality and communication
Les Langues du Monde, the Client and the Trainee undertake to maintain the confidentiality of any documents and information to which they may have access in the course of performing or receiving the training services or via the exchanges taking place prior to enrolment, including in particular all content provided in the proposal transmitted by Les Langues du Monde to the Client.

Les Langues du Monde undertakes not to pass on any information transmitted by the Client, including information pertaining to Trainees, to any third parties other than the partners with which the training programmes are organised and with OPCOs.

However, the Client agrees to be referenced by Les Langues du Monde as a Client of its training programmes. To that end, the Client authorises Les Langues du Monde to mention its name and give an objective description of the types of services obtained in its lists of client references and proposals distributed to prospective and existing clients, meetings with third parties, management reports, and in the event it is required to do so in accordance with applicable legal, regulatory or accounting provisions in force.

Protection of and access to personal data
The Client undertakes to notify all Trainees that:

  • their personal data are collected and processed for the purpose of validating the training provided and improving the programmes made available by Les Langues du Monde;
  • pursuant to Act No. 78-17 of 6 January 1978, Trainees have a right of access, modification and rectification of their personal data.

In particular, Les Langues du Monde will store the data associated with each Trainee’s coursework and performance assessment for a period not to exceed the time needed to perform said assessment.

Lastly, upon completion of the coursework, Les Langues du Monde undertakes to erase any images taken via video recording during any practical exercises or simulations.

Governing law and competent jurisdiction
The General Terms and Conditions detailed in this document are governed by French law. In the event of a dispute between the Client and Les Langues du Monde involving the interpretation of this document or the performance of the contract, the parties shall endeavour to reach an amicable solution. Where no such amicable solution can be reached, the Paris Courts shall have exclusive jurisdiction to settle the dispute.

This restriction covers, in particular, any use made by the Client and the Trainee for the purpose of organising or leading training courses.
